US markets: Positive

Dow futures: +12 (as at 8am Singapore Time)

US Wrap: The major U.S. stock averages surged Thursday, getting a lift

from an encouraging snapshot of labor market conditions and expectations

for stimulus from China. The Labor Department reported Thursday that

initial jobless claims fell 26,000 in the week ended Sept. 22 to 359,000 from

an upwardly revised figure of 385,000 in the prior week. The Dow Jones

Industrial Average rose more than 72 points, or 0.54%, to close at 13,486.

The S&P 500 traded up nearly 14 points, or 0.96%, to settle at 1447, while

the Nasdaq gained 43 points, or 1.39%, to finish at 3137. The benchmark

10-year Treasury fell 13/32, lifting the yield to 1.657%. The greenback

dropped 0.32%, according to the dollar index. On the corporate front, Sealy

(ZZ) shares popped 2.3% after Tempur-Pedic International ( TPX ) said it

will buy its mattress maker competitor for roughly $242 million and assume

around $750 million in debt.

The Day Ahead…

Scoop of the Day: The on-going takeover tussle for APB and F&N is

nearing an end with today’s vote by F&N shareholders on the sale of APB.

Among the potential beneficiaries of the whole saga is Great Eastern, which

sold its stakes in F&N and APB to Thai Bev/Kindest Place back in July,

reaping total sales proceeds of $2.4bn. Given the low historical cost of these

legacy shares, GEH will realize a total pre-tax gain of ~S$2.2bn. While most

of the gains will accrue to GEH’s insurance funds, GEH itself will realise a

net gain of $421m ($0.89/share) for its shareholders. Taking into account

new business embedded value created in 1H12 and the net gain from the

sale of shares, we estimate this will lift GEH’s embedded value to well over

S$8bn, or $17/share. GEH’s stock price has appreciated by some 15% to

around $15 since the saga first broke out, but remains under-rated given a

Price/ Value (P/EV) of 0.9x. Arising from the gain from the sale of

its F&N/APB shares, GEH could dish out a special dividend to shareholders

as it remains well capitalised with capital adequacy ratios at over 200%, well

in excess of the 120-130% regulatory requirements. Another potential

catalyst is a third privatisation attempt by OCBC to buy out the remaining

13% of minority shareholders. The previous two attempts, in 2004 and 2006,

had lifted OCBC’s stake in the insurer from 49% to the current 87% at P/EV

ratios of 1.2-1.5x. On a P/EV multiple of 1.3x, GEH would be valued at

$22/share. We recommend a Trading Buy. (Goh Han Peng)

• Ascendas India Trust - Private placement of new units at

S$0.72 each, to raise gross proceeds of S$70m to S$100m

to fund growth.

Ascendas India Trust is proposing a private placement of new

units at S$0.72 per unit, to raise gross proceeds of

approximately S$70m, with an upsize option to raise

additional gross proceeds of approximately S$30m. The net

proceeds will be used to finance a-iTrust's targeted growth

initiatives.

A property fund managed by Keppel Land unit Alpha

Investment Partners is said to have inked a deal to acquire a

50% stake in 78 Shenton Way from a global fund managed by

Commerz Real, a fully owned unit of Germany's

Commerzbank. The transaction values 78 Shenton Way at

$608m, or $1,686 psf, on net lettable area (NLA) of around

360,500 sq ft. 78 Shenton Way is on a site with a remaining

lease of about 70 years and is said to be about 90% occupied.

Market watchers note that with the 78 Shenton Way deal,

Alpha is effectively re-entering the Singapore office market at

a lower price of $1,686 psf on NLA, compared with the

$2,225 psf (or around $293m) at which it exited Robinson

Centre late last year.

SMRT Corp plans to sell five-year bonds worth S$350m to

fund general corporate needs and capital spending. It plans to

issue the notes at a fixed rate of 1.2% on Oct. 5 under its

S$1bn multi-currrency medium-term note program.

Ezra Holdings received strong support from its shareholders for

the proposed distribution of Triyards Holdings Limited

(TRIYARDS) shares through a dividend-in-specie at an

extraordinary general meeting (EGM) held yesterday.

Shareholders will receive one TRIYARDS share for every 10 Ezra

shares they hold; counter expected to debut on SGX

Mainboard on 18 October 2012. Once listed separately,

TRIYARDS will have the financial independence to build up its

name in offshore engineering & fabrication sector in Asia. Ezra

will still benefit from TRIYARDS’ growth via its majority 67%

stake after the listing.

Sky One Holdings is proposing to acquire the entire stake in

coal mining company Energy Prima for S$400m, via the issue

of 1,600m new shares at S$0.25 per share. In connection

with the proposed acquisition, it will dispose its existing

business (excluding PT Energy Indonesia Resources) to its

controlling shareholder and CEO Mr Dicky Suen Yiu Chung

for S$6.9m.

The Housing and Development Board (HDB) is rolling out

more flats this year in a bid to arrest runaway price increases

and help meet housing demand. An additional 2,000 units

will be rolled out this year, bringing the new supply of Builtto-

Order (BTO) flats up to 27,000 over the 25,000 originally

planned.
